Samantha Klausen

Samantha (Sam) Klausen is a health care and business attorney who helps clients navigate complex regulations with a practical, detail-oriented approach. She supports health care organizations and other businesses as they work through regulatory requirements that shape day-to-day operations and strategic decision-making.

Sam advises clients across a range of regulatory and transactional matters, bringing a steady focus on translating complicated rules into clear, workable guidance. Her work is grounded in collaboration and careful analysis, with an eye toward solutions that are both compliant and operationally realistic.

Before joining Hatfield Knivila, Sam practiced at Tonkon Torp. She also brings experience from the highest levels of state government, including work as a staff member of the governor’s office, the legislature, and the Oregon Supreme Court—background that gives her a unique perspective on the regulatory landscape and how laws are developed, interpreted, and applied.

A lifelong Oregonian, Sam enjoys spending time with her family, staying active, and finding something creative to do.

    Advises providers and health care organizations on acquisitions, affiliations, joint ventures, and other strategic transactions. Supports deal execution from early structuring through diligence, contracting, and closing.

    Counsels clients on evolving state and federal health care requirements that shape both transactions and day-to-day operations. Provides practical risk analysis and compliance strategy on issues including corporate practice of medicine and operational compliance.

  • Corporate Structuring & Governance

    Guides entity formation and governance design for organizations operating in highly regulated environments. Develops governance frameworks and documentation that support growth, clarify decision-making, and manage regulatory exposure.

  • Provider/MSO/Clinical Alignment Arrangements

    Structures and negotiates management services arrangements and other provider and MSO alignment models. Helps clients address corporate practice of medicine constraints, define operational responsibilities, and align incentives while maintaining appropriate clinical and business separations.

  • Commercial Contracting & Operational Agreements

    Drafts and negotiates a wide range of operational contracts, including vendor, supplier, and services agreements. Focuses on clear, workable terms that support implementation, reduce friction, and appropriately allocate regulatory and commercial risk.
